Terms of Service

Voss Integrity LLC — covering the QenSAi platform and its products, including AIAGF, BDD (bots.qensai.dev), Crown Ledger / Cashflow Budgeting, King PBI, the QenSAi Operator Queue System, QenSAi Single Sign-On, the Q-En-S-Ai governance vault, System Logic Kit, and SysSecureOps (each a "Service," together the "Services").

These Terms of Service ("Terms") are a binding agreement between you and Voss Integrity LLC ("Voss Integrity," "we," "us," "our"). By creating an account or using any Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Services. By using the Services you represent that you meet this requirement and that you are not barred from using the Services under applicable law.

2. Your account

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Do not share your credentials. Notify us promptly at privacy@qensai.dev if you suspect unauthorized use. You may close your account at any time.

3. Acceptable use

You agree not to use the Services to, or to permit or encourage anyone else to:

  • violate any applicable law or regulation, or infringe anyone's rights (including intellectual property and privacy rights);
  • develop a competing product or service, or train a competing AI model, using the Services or their output;
  • reverse engineer, decompile, or attempt to extract source code or underlying models, except where this restriction is prohibited by law;
  • scrape, harvest, or access the Services by automated means beyond any access we explicitly permit;
  • attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with or disrupt the Services' integrity, security, or performance;
  • upload malware, or submit content that is unlawful, harmful, fraudulent, or that you do not have the right to submit; or
  • use the Services in any way that creates risk or liability for us or that degrades others' use of the Services.

We may investigate and take appropriate action, including suspending or terminating access, for any suspected violation.

4. Your content

You retain all rights you have in the content and data you submit to or create with the Services ("Your Content"). You grant us only the limited license needed to host, process, transmit, secure, and display Your Content for the purpose of operating and providing the Services to you. Where a Service processes Your Content in your browser, that content stays on your device. We do not claim ownership of Your Content and we do not sell it. Our handling of personal information within Your Content is governed by the Privacy Policy.

You are solely responsible for Your Content and for ensuring you have the rights necessary to submit it.

5. AI features and output — no professional advice

Some Services use artificial intelligence to generate output ("Output"). You acknowledge that:

  • Output may be inaccurate, incomplete, or otherwise not suitable for your purposes, and may not reflect current information;
  • you are responsible for independently reviewing and verifying Output before relying on it or acting on it; and
  • Output is provided for informational purposes only and is not professional advice. The Services do not provide legal, financial, investment, tax, accounting, medical, or other professional advice, and you should not rely on Output to make financial, securities, legal, medical, or other significant decisions without consulting a qualified professional.

Where a Service governs, scores, or annotates AI output, those mechanisms are tools to assist you and are not a guarantee of accuracy, compliance, or fitness for any purpose.

6. Subscriptions, fees, and billing

Some Services are offered on a paid or subscription basis. Fees are shown at the point of purchase and are processed by our payment processor, Stripe. Unless otherwise stated or required by law:

  • paid plans renew automatically at the end of each billing period at the then-current price;
  • you may cancel at any time before your next renewal to avoid further charges, through the Service's settings or the Stripe customer portal;
  • fees are non-refundable except where required by applicable law; and
  • we will give advance notice of a price increase, and you may cancel before it takes effect.

You authorize us and Stripe to charge your selected payment method for the fees you incur.

7. Intellectual property

The Services, including their software, design, text, and branding (excluding Your Content), are owned by Voss Integrity or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. You may not use our names, logos, or trademarks without our prior written permission.

If you send us feedback or suggestions, you grant us the right to use them without restriction or obligation to you.

8. Third-party services

The Services may interoperate with third-party services (for example, AI providers, payment processing, or optional integrations you connect). Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for them.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination — including content licenses you have granted, fees owed, disclaimers, limitations of liability, and dispute terms — survive. On termination we may delete data associated with your account, subject to the retention periods in our Privacy Policy and applicable law.

10. Disclaimers

THE SERVICES, OUTPUTS, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR FIT FOR YOUR PURPOSES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOSS INTEGRITY AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE APPLICABLE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify and hold harmless Voss Integrity from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, your violation of any law, or Your Content, except to the extent caused by our own gross negligence or willful misconduct.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in California, and you consent to their jurisdiction, except where applicable law gives you the right to bring a claim in your local jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
